1. Acceptance of Terms

 

By accessing or using our website or services, you agree to these Terms & Conditions. If you do not agree, you must not use our services.

2. Services

 

BASED provides AI automation, data analytics, API integrations, chatbot building, model hosting, and consulting (“the Services”).
All services are provided on a best-effort basis and may use third-party systems or APIs.

3. Engagements & Payment

​​

  • Engagements are confirmed via written proposal or agreement.

  • Payment is by invoice or bank transfer as specified in your agreement.

  • Work will commence once initial terms are accepted and, if required, deposits received.

  • All prices are in New Zealand Dollars (NZD) unless otherwise stated.

  • No refunds are offered once work has begun (see Refund Policy).
     

4. Client Responsibilities

 

You agree to:

  • Provide accurate and lawful data for processing;

  • Obtain consent for any personal data you supply to us;

  • Use our deliverables responsibly and in compliance with applicable laws.
     

5. Use of AI Systems

 

Our services may use third-party AI tools. While we take care to ensure output accuracy, AI-generated content may contain errors and should be independently verified before reliance.
We do not accept liability for decisions made solely based on AI outputs.

6. Intellectual Property

  • Unless otherwise agreed, intellectual property in deliverables created for you transfers upon full payment.

  • Our pre-existing tools, scripts, and methods remain our property.

  • You may not reuse our systems or materials for other projects without permission.
     

7. Confidentiality

 

We treat all client information as confidential and use it only for the purpose of service delivery, unless disclosure is required by law.

8. Limitation of Liability

 

To the fullest extent permitted by law:

  • Our liability for any claim is limited to the total fees paid for the relevant service.

  • We are not liable for indirect, consequential, or data loss damages.

  • You indemnify us against claims arising from your misuse of our services or outputs.

9. Termination

 

Either party may terminate a project with reasonable written notice. Work completed up to the date of termination will be invoiced and payable.

10. Governing Law

 

These Terms are governed by the laws of New Zealand, and any disputes will be subject to the courts of New Zealand.

11. Changes to Terms

 

We may revise these Terms periodically. Continued use of our website or services constitutes acceptance of any updates.
